Liberty Media informed the Securities and Exchange Commission on Friday that it had acquired more than 48% of Sirius XM Radio's shares and intends to push that amount above 50% in order to take control over the New York satellite radio company.
Liberty disclosed the plan several months after it failed to persuade the Federal Communications Commission to grant it control over Sirius based on its ownership of 40% of the company's shares.
Sirius' chief executive, Mel Karmazin, rebuffed the takeover attempt at the time, saying Liberty's argument that its 40% stake was sufficient to gain control was akin to proclaiming "Forty is the new 50."
Liberty's chairman, John Malone, might have taken that barb to heart. Since March, the New York media conglomerate has been buying up Sirius shares; its stake is now 48.1%. In its report to the SEC, Liberty said it "intends to acquire beneficial ownership of additional shares of common stock that, together with its current beneficial ownership, would represent more than 50% of the outstanding shares."
Once it surpasses the 50% threshold, Liberty said it will take control of Sirius and "spin off to its stockholders a subsidiary that will hold certain businesses, assets and liabilities."
The most likely reason for the spin-off is to avoid taxes. Liberty executives have hinted at doing a reverse Morris Trust, in which it would combine Sirius with a Liberty property and spin off the resulting entity, so it could avoid having to pay taxes for acquiring Sirius. The most likely asset to combine with Sirius seems to be Liberty's Starz premium pay-television network.
The question now is whether Karmazin will remain at Sirius' helm after the Liberty takeover. Karmazin has hinted that he might not stick around because he prefers to be his own boss. Sirius' paying subscriber base has more than quadrupled since Karmazin joined the company in 2004, when it had about 5 million subscribers. As of June 30, SiriusXM had 22.9 million.

Western Alliance Bancorporation (WAL) and Western Liberty Bancorp (WLBC) announced today that they have signed a definitive agreement pursuant to which Western Alliance Bancorporation will acquire Western Liberty Bancorp. Immediately following the completion of the acquisition, Western Libertys principal operating subsidiary, Service1st Bank of Nevada, will merge with and into Bank of Nevada, a wholly-owned subsidiary of Western Alliance Bancorporation.
The Agreement provides that each shareholder of Western Liberty Bancorp may elect to receive either $4.02 in cash or 0.4341 of a share of Western Alliance Bancorporation for each Western Liberty share owned (based on existing shares of Western Liberty stock outstanding as of the date hereof and assuming the conversion of outstanding restricted stock units), subject to certain collar and proration provisions. The exchange is expected to be tax free, to the extent shareholders receive shares of Western Alliance Bancorporation. In aggregate, the transaction is valued at approximately $55 million.

Liberty Racing reaffirms its commitment to the World Superbike Championship despite confirming it won't be part of the series' first visit to Russia.
Speculation regarding the future of the Czech-based team was raised when it wasn't included on Infront's provisional entry list for next week's Moscow event, the series' first-ever foray into Russia.
Liberty has now formally confirmed its absence for that event, but maintains it will be present for the final three events, starting with the Nurburgring on September 7-9, and also reaffirmed its commitment to competing in 2013.
In the meantime, Liberty Racing's press release suggests the team will undergo a restructure across the team, a move that it says also concerns riders Jakub Smrz, Maxime Berger and Brett McCormick, though it isn't clear whether such a statement relates to the final rounds or for the 2013 season.
The last part of the season is a prelude to a constructive reorganisation of its [Liberty Racing's] human, technical and logistical resources for the next racing season, a press release read.

Liberty Tax’s Fall Tax Classes May Offer Entry into the Tax Industry

Western Liberty Bancorp, Inc. (WLBC), the holding company for Service1st Bank of Nevada (Service1st Bank) and Las Vegas Sunset Properties (LVSP), today reported its tangible book value per share was $5.43, down slightly from $5.53 in the preceding quarter. Western Liberty reported second quarter loss of $1.5 million, or $0.11 per share, compared to $1.1 million, or $0.08 per share, in the first quarter of 2012, and $4.6 million, or $0.30 per share in the second quarter of 2011. For the six month period ended June 30, 2012, net losses narrowed to $2.5 million, or $0.19 per share, compared to $5.0 million, or $0.33 per share in the first half of 2011. All financial results are unaudited.
Our loan portfolio continues to stabilize with nonperforming loans down $3.5 million from year end, said William Martin, Chief Executive Officer. According to the July 31, 2012 report from the University of Nevada Las Vegas Center for Business and Economic Research (CBER), CBERs Southern Nevada Coincident Index grew by 0.61% in May, the strongest showing since before the financial crisis in 2008. Nonfarm employment grew by 0.45% and household employment increased by 0.77%.
Compared to the previous six months, CBERs Southern Nevada Leading Index slowed down, increasing by only 0.17% for May 2012. This is about 0.08 percentage points below the average for early 2012 and late 2011. Our neighboring states fared well; Arizonas component increased by 0.17% and Californias by 0.29%.
