Liberty Media Will Pay $2.62 Billion for 27% Stake in Charter

John Malones Liberty Media Corp. (LMCA) agreed to buy about 27 percent of Charter Communications Inc. (CHTR) for about $2.62 billion, betting that the formerly bankrupt cable company can thrive in an era of digital services.

Liberty will pay $95.50 apiece for about 26.9 million shares and 1.1 million warrants for Charters private-equity investors Apollo Global Management, Oaktree Capital Management and Crestview Partners, according to a statement today. The transaction is expected to close by mid-May.

Charter, the fourth-largest U.S. cable operator, has been taking advantage of improving cash flow to refinance debt and add customers through the acquisition of Cablevision Systems Corp. (CVC)s Optimum West. Its shares have almost tripled since the end of 2009, when the St. Louis-based company emerged from bankruptcy protection with the deal that gave the private-equity firms their stakes.

Charters stock rose 8.8 percent to $98.04 yesterday after reports of the deal first surfaced. Libertys offer represents a 6 percent premium over the stocks trading price before the news broke. The shares gained an additional 2.4 percent to $100.38 today in New York, reaching the highest level since the bankruptcy.

Shares of Liberty Media, based in Englewood, Colorado, fell 0.3 percent to $110.34 today.

For Malone, a billionaire who built Tele-Communications Inc. into one of the countrys biggest pay-TV companies decades ago, the move marks a return to the U.S. cable industry. In recent years, he has focused on the European market, making investments through his overseas cable business Liberty Global Inc. That company agreed to acquire Virgin Media Inc. for $23.3 billion in cash and stock last month to expand in the U.K.

As part of todays agreement with Charter, Liberty will name four directors to Charters board. The company expects to designate Malone; Liberty Chief Executive Greg Maffei; Liberty Global Executive Vice President Nair Balan; and Michael Huseby, chief financial officer of Barnes & Noble Inc., another company backed by Liberty. Current directors Stan Parker, Darren Glatt, Bruce Karsh and Edgar Lee -- who are affiliated with Charters private-equity backers -- will resign from the board.

Liberty also agreed not to attempt to take control of Charter. Under the terms of the deal, it wont increase its ownership above 35 percent until January 2016 and 40 percent thereafter. Liberty also said it wont start a proxy fight for more board seats, so long as its directors maintain their positions.

While Liberty Global has 19.6 million pay-TV, Internet and phone customers, mostly in Europe, and Malone directly holds a 4.8 percent stake in satellite-TV company DirecTV, his U.S. cable investments have been limited since he sold TCI to AT&T Corp. in 1999. Liberty Media holds an undisclosed stake in Time Warner Cable Inc., the second-biggest U.S. cable company, according to the annual report of Malones company.

Statue of Liberty to reopen by Independence Day

The Statue of Liberty, which has been closed to the public since Superstorm Sandy struck in October, will reopen by July 4, federal officials announced Tuesday.

Interior Secretary Ken Salazar and New York Sen. Chuck Schumer made the announcement nearly five months after the storm shut down tours of the monument and Liberty Island. While the statue itself was not seriously harmed by the storm, several buildings on the island suffered major flooding, wiping out the islands electrical system and sewage pumps. The main dock used by tourist ferries carrying visitors from lower Manhattan and New Jersey was also destroyed.

Its good news, its a little overdue, but at least its there, and now well watch like a hawk to make sure that this promise is kept, Schumer told NBC New York.

In January, Congress allocated $59 million to repair both Liberty Island and nearby Ellis Island, which also sustained major damage in the storm. But federal officials have not announced when Ellis Island will reopen. In November, more than a million artifacts had to be removed from the museum there because of fears they might not be properly preserved because of damage to the climate-control system in the building.

The Statue of Liberty is one of the countrys most popular landmarks. According to the National Park Service, roughly 3.7 million people visited the site in 2011the last year full data was available.

Charter Stock Soars on Liberty Speculation

By Mike Farrell, Multichannel News -- Broadcasting & Cable, 3/18/2013 1:32:14 PM Charter Communications stock soared more than 10% Monday after a report in the Wall Street Journal said Liberty Media, headed by cable legend John Malone, was planning to acquire a 25% interest in the mid-sized market MSO for an estimated $2.5 billion.

Citing unnamed sources, theJournal said Liberty was close to acquiring the stake, but offered no further details.

Charter shares soared on the news - the stock was up as much as 10.5% ($9.49 per share) to $99.50 each in early Monday trading, settling down slightly to $96.10 per share by the afternoon, up 6.6% or 6.1%.

Officials at Charter and Liberty each declined to comment.

If a deal is announced, it would be Liberty Media's first foray into U.S. cable distribution since it was part of Tele-Communications Inc., more than two decades ago.TCI was sold in 1999 to AT&Tfor about $49 billion.

Liberty Said to Buy Stake in Charter From Apollo, Oaktree

John Malones Liberty Media Corp. (LMCA) is close to a deal to acquire 25 percent of Charter Communications Inc. (CHTR) from its private-equity investors, according to a person familiar with the situation.

The firms include Apollo Global Management LLC and Oaktree Capital Management LP, Charters largest shareholders, said the person, who asked not to be named as the process is private. The stake was worth $2.28 billion at yesterdays closing price.

Charter, the fourth-largest U.S. cable operator, has been taking advantage of improving cash flow to refinance debt and add customers through the acquisition of Cablevision Systems Corp. (CVC)s Optimum West. Its shares have almost tripled since the end of 2009, when it emerged from bankruptcy protection with the deal that gave the private-equity firms their stakes.

The stock rose 9.1 percent to $98.36 at 2:45 p.m. in New York after earlier jumping to $99.50, the highest price since the bankruptcy.

Anita Lamont, a spokeswoman for St Louis-based Charter, declined to comment. Courtnee Ulrich, a spokeswoman for Englewood, Colorado-based Liberty Media, didnt immediately respond to an e-mail and voice mail seeking comment.

Charles Zehren, a spokesman for Apollo at Rubenstein Associates Inc., declined to comment. Andrea Williams, a spokeswoman for Oaktree, didnt immediately respond to a voice mail seeking comment.

Dow Jones earlier reported on the deal to sell the stake to Malone.

Started by Paul Allen, a Microsoft Corp. co-founder, in 1993, Charter filed for bankruptcy protection in March 2009 after becoming overwhelmed by more than $21 billion in debt. Allens stake dropped to 35 percent when Charter emerged with about $8 billion less debt. He has since sold almost all his remaining shares, according to regulatory filings.

Charter said earlier this month that Apollo would reduce its stake by 6.2 million shares and Oaktree would sell 3.1 million in an underwritten offering. Those transactions have already been completed, according to filings.

The company agreed earlier this month to acquire Optimum West for $1.63 billion, gaining more than 360,000 customers in Montana, Wyoming, Colorado and Utah. Charter currently serves about 5 million customers in 25 states.

CONWAY, S.C. (AP) -- Liberty coach Dale Layer doesn't care how many losses it took to get his players to the NCAA tournament.

The Flames became just the second 20-loss team to reach college basketball's marquee event, beating Charleston Southern 87-76 Sunday to win the Big South Conference title. Liberty opened the season with eight straight losses and had never won more than three in a row until this week. Yet, it joined Coppin State in 2008 as the only schools with 20 or more defeats in the field of 68.

The Flames' .429 winning percentage (15-20) is the lowest for an NCAA tournament team since Oakland (Michigan) had a 12-18 record (.400) in 2005.

''That's awesome,'' the fourth-year coach said of his team. ''We've got the hats, right?''

Yes, you do, Coach.

The Flames finished their best stretch of basketball this year, winning their fifth in a row - and their fourth game since Tuesday - to take their first Big South tournament crown since 2004. John Caleb Sanders led the way with 27 points and tournament MVP Davon Marshall had 20 off six 3-pointers.

Marshall and Sanders got things going in a hurry over top-seeded Charleston Southern (19-12) with 3-pointers in the first 90 seconds - and the Flames barely lost their outside touch. Marshall was 6 of 7 from beyond the arc and Liberty finished 9 of 18 on long-range baskets.

The performance ended a hard-to-imagine run through the field where Liberty defeated home-standing Coastal Carolina and both Big South divisional winners in High Point and Charleston Southern. Sanders said the team began to believe when they topped the Chanticleers 78-61. ''When you can beat Coastal by 20 on their home floor, we knew we could beat anybody in this tournament,'' he said.

That played out over the week at the HTC Center with the improbable run.

''We've played four of our best games in these four games of the tournament,'' Sanders said. ''Talk about peaking at the exact right time.''

Live Nation adds Liberty CEO Maffei to board

LOS ANGELES (AP) -- Live Nation Entertainment has appointed Liberty Media Corp. President and CEO Greg Maffei to its board of directors. The concert promoter and ticketing company said Maffei brings years of experience and business acumen that will help it grow in the coming years.

Live Nation, based in Los Angeles, owns ticketmaster.com, Live Nation Concerts, Artist Nation and Live Nation Network.

The company said late Thursday that it is appointing Maffei as the non-executive chairman of its board. He has served on the Live Nation board since February of 2011. Maffei joined Liberty Media as CEO-elect in 2005 and became CEO in 2006. He has also served as President and Chief Executive Officer of Liberty Interactive since 2007.

Liberty Media, the holding company controlled by billionaire John Malone, has an estimated 27 percent stake in Live Nation.

Shares of Live Nation increased 19 cents, or nearly 2 percent, to $12.07 by midday Friday amid a small drop in the broader market.

In Americas revolutionary history, no document is more iconic than the Declaration of Independence, the short but sweeping statement issued by Congress on July 4, 1776, severing bonds with Britain and launching the Colonies on their path to independence.

But what does the Declaration of Independence actually declare? For most Americans today, the answer is embodied in the opening sentence of the second paragraph: We hold these Truths to be self-evident, that all Men are created equal, that they are endowed by their Creator with certain unalienable Rights, that among these are Life, Liberty, and the Pursuit of Happiness.

Perhaps no sentence in American history is better known or has had a greater impact than these powerful words about equality and rights. It is no wonder then that schoolchildren memorize this sentence, that adults consider it the founding creed of Americas civil religion, or that this and other newspapers will highlight these words on their editorial pages tomorrow.

During the March on Washington in 1963, Martin Luther King Jr. recited these words and said it was time for the nation to make good on this promissory note and to rise up and live out the true meaning of its creed. One hundred years earlier, in his Gettysburg address, President Abraham Lincoln insisted that the nation had been founded upon the proposition that all men are created equal.

But in 1776, thats not how most Americans would have seen the Declaration. The entirety of the now-famous second paragraph was little more than the minor premise in the argument over independence, historian David Armitage has observed in his study of the Declarations original meaning and global history. Americans at the time rarely discussed these words, instead focusing on the long list of charges against King George III that dominated the body of the text, or the bold capital letters in the documents final section, declaring the Colonies to be FREE AND INDEPENDENT STATES.

So why did we come to focus on the message that we did? How and when did Americans turn a diplomatic severance note into a declaration of individual rights and a philosophical statement about the natural equality of all people?

With the help of newly digitized 18th-century American newspapers and other publications, we can now more precisely trace how people wrote about the Declaration in its own time, and can begin to tell a more nuanced story about how - and who - gave us the Declaration we celebrate this week.

While most observers at the time were focusing on other parts of the document, one set of people saw this sentence as its most important statement: opponents of slavery. The story of how they read the Declaration can be traced, in part, back to Massachusetts, where in the summer of 1776 a young man of mixed racial identity named Lemuel Haynes invoked the Declarations self-evident truths of equality and rights in a manuscript essay on the illegality of Slave-keeping.

Haynes and other Revolutionary-era abolitionists constituted a minority of the Declarations early readers. But years later, it would be their reading that helped transform an instrument of international law into a founding document of domestic politics.

In watching how those early Americans read the Declaration, and what they paid attention to, we get a powerful lesson in how a seemingly clear founding document can shift meaning over the years and even hold multiple meanings in its own time. We also see how a state paper designed to dissolve the political bands between Britain and the Colonies slowly and surprisingly came to be recognized as a founding document of American equality and as a distinctly American contribution to political systems around the world.

Liberty North suffers an agonizing loss to Republic in Missouri state semifinal

COLUMBIA A second chance.

That simple phrase perfectly summed up a complex finish between Liberty North and Republic in the Class 4 semifinals one that left the Eagles searching for answers and sent Republic to the Class 4 state championship game at Mizzou Arena.

Republic senior Marcus Miller made good use of his second chance. Liberty North never got one.

Miller made a game-winning layup rebounding his own miss with 6.5 seconds remaining to lift Republic to a 38-37 win in the Class 4 semifinals Thursday at Mizzou Arena.

In search of the first state championship in school history, Liberty North will instead play in the third-place game for the second consecutive season.

Im devastated for our team, for our players, Liberty coach Chris McCabe said. The worst part about it is we cant go back and change it, and thats what we want to do.

If Liberty North had the choice, it would probably just opt to replay the fourth quarter.

Or perhaps only the final sequence.

Zach Starr gave the Eagles, 25-5, a one-point lead on a drive to the basket with 1:21 remaining. Those were Liberty Norths only two points in the fourth quarter, but they were nearly enough.

On the ensuring possession, Republic guard Canyon Smith missed a three-pointer with 10 seconds remaining, and Liberty North forward Ian Sanderford pulled down the rebound. But when Sanderford tried to gain his balance, he tripped over Miller and was whistled for traveling.
