Liberty Silver looks to allow shareholders to sell some holdings
Liberty Silver Corp., a junior silver miner whose stock was suspended from trading by Canadian and U.S. regulators in October, has filed a prospectus with the U.S. Securities and Exchange Commission that allows current shareholders to sell some of their holdings.
The document lists 28 different shareholders who are looking to sell a combined 3 million common shares and 9.6 million warrants in a secondary offering. Unlike a treasury offering, in which the proceeds flow to the companys coffers, any money raised from this sale would go directly to the sellers.
We are not selling any shares of common stock in this offering and therefore will not receive any proceeds from the sale of common stock hereunder, Liberty noted in its prospectus, adding that it will only bring in money if the warrants being offered are ultimately exercised.
However, Geoffrey Browne, Libertys chief executive officer, said in an e-mailed statement that the filing doesnt necessarily mean that shares or warrants will change hands immediately. In the e-mail, he noted that nobody is looking to sell and added that the filing of [the prospectus] was a contractual agreement with a company who sold Liberty Silver some properties this summer. As part of that deal, Liberty promised to file the prospectus within 30 days of the transactions closing.
The prospectus outlines the shareholders looking to sell, as well as the number of shares each party is offering. Look Back Investments, which holds 6.5 million warrants, is looking to sell the largest position. The Panama-based firm invested $3.25-million (U.S.) in Liberty in December, 2011, and is run by Robert Genovese, a mining promoter who refers to himself as Bobby G.
Mr. Genovese has been active in Liberty this year. In late August, he launched a campaign to promote the company by sending out e-mails and press releases that said Liberty is well-suited for a pending silver rush. In the month-and-a-half after the first press release went out, Libertys shares jumped to a high of $1.58 (Canadian) from 75 cents.
After such a big run, during which trading volumes more than quadrupled, the SEC abruptly suspended trading in Liberty shares south of the border, where they are traded over-the-counter. The regulator cited a lack of current and accurate information about the company concerning, among other things, the control of its stock, its market price, and trading in the stock. The Ontario Securities Commission ultimately followed suit, and trading was suspended on the Toronto Stock Exchange.
Since the OSC suspension was lifted Oct. 22, Libertys shares fell as low as 53 cents on the TSX and closed Friday at 74 cents.
Liberty is exploring the Trinity Silver project in Nevada, which had its high-grade silver ore extracted by another firm in the 1980s. Since it started looking for remaining low-grade ore in 2007, Liberty has spent just $1.5-million (U.S.) on exploration. At its peak in October, Liberty was worth about 85 times that amount. As of Sept. 30, it had $875,000 in cash.

PUYALLUP Coach Tami Nguyen would do it all over again.
All her Liberty High School girls soccer team needed was one more penalty kick against Columbia River to advance to the Class 3A state championship game for the second straight year.
Nguyen entrusted the shot to senior Kiana Hafferty.
But Columbia River keeper Haley Case came up with a save to extend the game, and the Chieftains went on to take a 2-1 shootout victory (5-4 on PKs) Friday at Sparks Stadium.
Fourth-ranked Columbia River (18-0-2) plays No. 2 Mount Spokane (20-0) for the title at 2 p.m. Saturday. Liberty (14-4-1) faces No. 7 Holy Names (15-6-2) at 10 a.m. for third and fourth.
No. 5 Liberty led River 4-3 on penalty kicks when Nguyen turned to Hafferty, who spent extra time at every practice on PKs. In fact, she stayed 15 minutes after Thursday's session to work on them.
Nguyen, a former standout player and club coach in her first season at Liberty, didn't second-guess her decision.
"If I had to pick anyone, I'd still pick her again," Bennett said. "The keeper probably just guessed right."
The Patriots (14-4-1), who lost last year's title game to Seattle Prep, took the lead in the 26th minute on a Tara Johnson goal off Katie Noonan's throw-in only the fifth goal Columbia River has allowed all season. They dominated play well into the second half, but didn't get anything more to show for it. Maddie Reynolds finally pulled Columbia River even in the 69th minute.

Liberty Bowl liked Mizzou possibility
COLUMBIA, Mo. Liberty Bowl executive director Steve Ehrhart remembers visiting with Mizzou athletics director Mike Alden and trying like heck in years past to secure the Tigers for the bowl game in Memphis.
But Mizzou hasnt made that postseason trip since 1980 when they lost to Purdue. They also went in 1978.
I remember being up here with Mike several times, Ehrhart said Saturday night at Faurot Field. And when we talked in Destin at the (SEC) spring meetings, I told him, Maybe this is a sign.
The Tigers entered Saturdays game against Syracuse with five victories, needing one more for bowl eligibility. But those prospects were dealt a blow after a 31-27 loss to the Orange. The teams last opportunity to qualify is next weeks season finale at Texas A&M.
Earlier Saturday, the group of teams that could be in contention for a spot in the Liberty Bowl on Dec. 31 continued to dwindle. Arkansas was eliminated with a loss. With the exception of the first drive of the game, Liberty's offense struggled to find consistency Friday.
The Patriots' defense, though, had no trouble at all.
Liberty picked the perfect time for its best defensive effort of the year, and quite probably of recent memory, blanking visiting Canyon Springs 10-0 in a Sunrise Region semifinal.
The Patriots (10-1) will host Coronado in the Sunrise final at 1 p.m. Nov. 24 with a berth in the state final on the line.
"I'm embarrassed to say that this is the first time all season we actually came together as a defense and played well," said Liberty senior linebacker Phoenix Uptain, who had a sack and a fumble recovery.
Canyon Springs entered the game averaging 35.8 points, including an average of 40 points in its past five. The Pioneers scored 20 points in the regular-season meeting between the teams - a 23-20 Liberty win on Sept. 28.
"We studied the film all week from when we played last time, and we pretty much just tightened it up," Uptain said.
And the Pioneers came up empty on all 10 of their drives Friday. Four ended on failed fourth-down conversion attempts, three on interceptions and one on a fumble. The Pioneers punted twice.
"I thought our defense did the job," Liberty coach Rich Muraco said. "We haven't really put a game together where our offense and defense played well in the same game, but the defense really came together and got us the win."

Liberty Global Inc. (LBTYA), the John Malone-led cable-TV company operating outside the U.S., predicts regulators will eventually clear the way for more cable acquisitions in Germany.
While antitrust authorities arent ready yet for additional mergers after Liberty Globals 3.16 billion-euro ($4 billion) takeover of Kabel Baden-Wuerttemberg last year, these things evolve, Chief Financial Officer Charles Bracken said today at an investor conference in Barcelona organized by Morgan Stanley.

Liberty Global gets about 70 percent of its revenue from Germany, the Netherlands, Switzerland and Belgium. As a condition for approving the KabelBW deal, Germanys Federal Cartel Office forced the Englewood, Colorado-based company to make concessions including removing basic encryption of digital free-to-air TV programs as well as enabling competitors to bid on contracts with housing associations.

Liberty Global wont raise its 35-euro per share offer to gain full control of Belgiums Telenet Group Holding NV (TNET), the CFO said. Liberty Global passed on multiple opportunities to acquire Ziggo NV (ZIGGO), the Dutch rival that sold shares in an initial public offering this year, he said.
Telenet fell 0.3 percent to 35.41 euros at the close of trading in Brussels today, giving the company a market value of 4 billion euros.

Margins matter. The more Liberty Global (Nasdaq: LBTY.A) keeps of each buck it earns in revenue, the more money it has to invest in growth, fund new strategic plans, or (gasp!) distribute to shareholders. Healthy margins often separate pretenders from the best stocks in the market. That's why we check up on margins at least once a quarter in this series. I'm looking for the absolute numbers, so I can compare them to current and potential competitors, and any trend that may tell me how strong Liberty Global's competitive position could be.
Here's the current margin snapshot for Liberty Global over the trailing 12 months: Gross margin is 64.8%, while operating margin is 19.8% and net margin is 2.2%.
Unfortunately, a look at the most recent numbers doesn't tell us much about where Liberty Global has been, or where it's going. A company with rising gross and operating margins often fuels its growth by increasing demand for its products. If it sells more units while keeping costs in check, its profitability increases. Conversely, a company with gross margins that inch downward over time is often losing out to competition, and possibly engaging in a race to the bottom on prices. If it can't make up for this problem by cutting costs -- and most companies can't -- then both the business and its shares face a decidedly bleak outlook.
Of course, over the short term, the kind of economic shocks we recently experienced can drastically affect a company's profitability. That's why I like to look at five fiscal years' worth of margins, along with the results for the trailing 12 months, the last fiscal year, and last fiscal quarter (LFQ). You can't always reach a hard conclusion about your company's health, but you can better understand what to expect, and what to watch.

Gold, Copper Explorer Liberty Star Signs New Agreement with Northern Dynasty Minerals Ltd, Southwest Alaska
TUCSON, Ariz.--(BUSINESS WIRE)--
Liberty Star Uranium & Metals Corp. (Liberty Star or the Company)(LBSR: OTCQB) is pleased to announce it has signed a binding loan settlement agreement (the Agreement) with Northern Dynasty Minerals Ltd. (Northern Dynasty or NDM) (NDM:TSX, NAK: NYSE MKT). The Agreement calls for the settlement of Liberty Stars entire debt to Northern Dynasty, termination of the JV negotiations between the two companies, transfer of a portion of the Companys Big Chunk properties to Northern Dynasty and a new border for Liberty Stars land position on the Big Chunk Super Project, south block. This effectively releases the need to raise approximately $5 million dollars to repay the NDM note as well as releasing all pledged collateral. We will now move forward unencumbered.
The relationship between the Company and Northern Dynasty originated in 2010 as an agreement in which Northern Dynasty acquired 60.7 KM or 13% of Liberty Stars land on the Big Chunk Super Project (BCSP) for $1,000,000, loaned to Liberty Star an additional $3,000,000, and proposed a definitive earn in option and binding joint venture agreement. The initial 2010 document provided that the loan would be secured by the Companys Big Chunk Super Project property in Alaska and accrued interest at 10% per annum (NR 95). Further interim loans were made by Northern Dynasty to Liberty Star over the past two years.
According to the newly signed loan settlement agreement the balance of the loan (US$3,730,174 in principal, plus $872,543 accrued interest) from Northern Dynasty is completely discharged and Northern Dynastys right to earn in the remaining property is terminated. As settlement, Northern Dynastys subsidiary U5 Resources receives 199 Alaska mining claims within the south block of the Big Chunk Super Project. Liberty Star, through its Alaska subsidiary Big Chunk Corp, retains 229 Alaska mining claims (55 sq. miles) within the BCSPs south block. Liberty Star also retains all claims within the BCSP North Block (184 Alaska mining claims). The transaction is scheduled to close by the end of November.

We retain a major land position in the Big Chunk south claim block including eight drill targets indicated by geochem and enhanced ZTEM data, as well as geology and aeromagnetics. Our work of this past summer covers assessment work for two assessment years. We will be able to continue exploration at Big Chunk within the redrawn south block in our normal methodical, scientific way. Also, as we approach potential JV partners we do it as a debt free company. This will be particularly helpful in going forward with our Tombstone, Arizona Hay Mountain Project, which is undergoing an archaeological survey, part of the permitting process.
