B/E Aerospace Targeted by Relational Investors With New Stake

Relational Investors LLC, the activist fund co-founded by Ralph Whitworth and David Batchelder, disclosed a stake of about 3.5 percent in B/E Aerospace Inc. (BEAV) as the maker of aircraft seats conducts a strategic review.

The firm started buying the shares in February and began talks with B/E management shortly therafter, according to a person familiar with the matter. San Diego-based Relational, which manages about $6 billion, disclosed the stake yesterday in a regulatory filing.

Relational supports B/Es decision to evaluate options to improve capital allocation and maximize shareholder returns, and is considering whether to seek board seats before the June 4 nominating deadline, said the person, who asked not to be identified because the talks are private.

B/Es review, disclosed May 4, surprised some investors because B/E had just said in April that it was working on two acquisitions of its own. In addition to seats, B/E supplies aircraft beverage makers, galley chillers, oxygen and lighting systems and aerospace fasteners. It also has made a foray into the oil and gas equipment-distribution business.

Greg Powell, a spokesman for B/E, didnt respond to a voice message seeking comment. B/E, based in Wellington, Florida, said it hired Citigroup Inc. and Shearman & Sterling LLP to help it explore alternatives, including a sale of the whole company or separation of selected businesses.

B/E Aerospace has great core assets and a strong competitive position, Matthew Hepler, managing director of research at Relational, said yesterday in an e-mailed statement. We welcome the companys announcement to explore strategic alternatives and will encourage the board to evaluate and pursue opportunities, in a disciplined manner, that will maximize value for all shareholders.

Amin Khoury, 75, co-founded the aerospace supplier with his brother Robert in 1987 and is chairman and co-chief executive officer, splitting his executive duties with operations chief Werner Lieberherr since the start of the year. The board has just six members, including the Khoury brothers.

The outcome of the review is very much dependent on Mr. Khourys intentions, Joseph Nadol, a New York-based aerospace analyst with JPMorgan Chase & Co., wrote in a May 13 research report. As recently as two weeks ago, we would have thought those were to continue growing B/E Aerospace in its core aerospace market as well as in oil and gas rental equipment.

B/E Aerospaces aviation sales have boomed as planemakers Boeing Co. (BA) and Airbus Group NV (AIR) compiled a record backlog of 10,130 orders, according to data compiled by Bloomberg Industries. First-quarter results were the best ever, Khoury told analysts on a call last month.

Relational also holds stakes in energy group Hess Corp., agricultural commodity processor Bunge Ltd., snacks supplier Mondelez International Inc., x-ray maker Hologic Inc. and air-conditioning manufacturer Ingersoll-Rand Plc, according to its most recent holdings disclosures. Third Point LLC, the hedge fund run by Daniel Loeb, exited its B/E holdings in the first quarter, according to a regulatory filing yesterday.

NEW YORK (TheStreet) --B/E Aerospace Inc. (BEAV), which manufactures cabin interior products for commercial aircrafts, was downgraded to "neutral" from "overweight" at JPMorgan (JPM) on Tuesday, based on a valuation call.

PORTSMOUTH The Seacoast is emerging as the state's composites manufacturing region for aerospace and defense business growth.

Portsmouth Mayor Robert Lister, joined by mayors from three other cities on the Seacoast, signed a letter during a ceremony Monday that will be sent to Canadian manufacturers and suppliers in greater Montreal, where 98 percent of Quebec's aerospace activity is concentrated.

The letter invites Montreal manufacturing company owners to visit the Seacoast to talk about opportunities for partnership and collaboration in the aerospace industry.

Jeffrey Rose, commissioner of the state Department of Resources and Economic Development, introduced Gov. Maggie Hassan at the Seacoast Aerospace Initiative press event held at Two International Group on the Pease International Tradeport.

This is a region that has a deep history in the tradition of aerospace and defense, Rose said. This is because of the steady leadership in our state, and we have a real champion in Gov. Hassan.

Hassan made an analogy to the current Boston-Montreal hockey playoff series.

When you watch the Canadiens and the Bruins play, you see two teams playing extraordinarily hard with great, great skill. So I think it speaks very well of the partnership we are celebrating today.

The UK has the strongest and best aerospace industry in Europe. Every 2.5 seconds an aircraft takes off or lands powered by a Rolls-Royce engine. Half the worlds aeroplanes fly on Airbus wings designed and made in the UK.

Aerospace contributes 24billion to the economy every year, supports 3,000 companies and employs 230,000 workers across the UK. Three quarters of what we produce is exported.

I want to keep it that way. But as global competition hots up, we need to get smarter.

That means government and industry must work together more effectively to get the best new ideas and products off the ground quickly and to give our employees the skills they need to master new technologies and more efficient ways of working.

This kind of long-term, collaborative approach has been second nature to our competitors for years; but previous governments quick to impose new taxes on businesses have failed to offer meaningful support to help UK firms get ahead of the game.

So this Government is making the largest commitment to civil aerospace research in a generation.

MESA, AZ (May 7, 2014) Able Aerospace Services, a leading MRO service and FAA-approved PMA parts provider, and one of the worlds largest helicopter repair facilities, has been awarded two five-year Indefinite Delivery Indefinite Quantity (IDIQ) contracts by Warner Robins Air Logistics Center (WR-ALC), located at Robbins Air Force Base in Warner Robins, Ga. Worth an estimated $8.75 million, the contracts engage Able to overhaul key dynamic drive train assemblies on the U.S. Air Forces fleet of Bell TH-1H helicopters.

These contracts demonstrate Ables extensive capabilities and global reputation for this type of work, said Able Aerospace Services Director of Business Development Mark McNatt. Able has the repair and in-house processing capacity to deliver the best possible product, in the best possible time frame, for the U.S. Air Force. Were honored that weve been selected for the opportunity.

WR-ALC has worldwide management responsibility for the repair, modification and overhaul of a variety of Air Force aircraft, including all Air Force helicopters. Under the new IDIQ contracts, Able will overhaul the entire dynamic drive train for a fleet of approximately 30 U.S. Air Force Bell TH-1H helicopters used primarily for training purposes.

These overhauls willinclude main transmission assembly, main input quill, tail rotor drive quill, generator drive quill, swashplate, scissor and sleeve, main rotor mast, main rotor hub, stabilizer bar, 42 degree gearbox and 90 degree gearbox.

According to McNatt, this category of contracts is a growing market for Able, particularly with Ables increased in-house capabilities thanks to a new $20 million, state-of-the-art facility.
