B/E Aerospace''s Board Okays Separation Of KLX

(RTTNews.com) - B/E Aerospace Inc ( BEAV ) said Tuesday its board has approved the separation of the consumables management segment, consisting of the company's aerospace distribution and energy services businesses, which will be known as KLX Inc, through a dividend distributing all of the shares of KLX common stock on a pro rata basis to the holders of B/E Aerospace's common stock.

For every two shares of B/E Aerospace common stock held, B/E Aerospace's shareholders will receive one share of KLX common stock. No fractional shares of KLX will be issued. Shareholders will receive cash in lieu of fractional shares. The Board has set a record date of December 5 and a distribution date of December 16.

The distribution of KLX common stock will complete the separation KLX from B/E Aerospace. After the distribution, KLX will be an independent, publicly-owned company and B/E Aerospace will not own any shares of KLX common stock.

KLX common stock is expected to begin trading on the NASDAQ under the ticker symbol KLXI, and B/E Aerospace will continue to trade on the NASDAQ under the ticker symbol BEAV.

"Our decision to separate the businesses was made as part of the evaluation of the company's strategic alternatives which has been undertaken by our management team and Board of Directors, together with our independent advisors," said Amin Khoury, the company's chairman and co-chief executive officer.

"Separating these highly successful businesses into two industry-leading companies will allow each to benefit from increased management focus and operational flexibility, as well as allow the management teams and boards of directors of each business to determine the optimal capital structure, free cash flow allocation policy, growth strategy, compensation system and performance measurement metrics."

The distribution of KLX common stock is subject, among other things, to the Securities and Exchange Commission having declared effective KLX's Registration Statement on Form 10, as amended, which KLX has filed with the SEC.

B/E Aerospace, based in Wellington, Florida, is a maker of aircraft cabin interior products and a provider of aerospace fasteners, consumables and logistics services.

BEAV closed Tuesday at $77.31, up $0.82 or 1.07%, on a volume of 1.1 million shares on the Nasdaq. In after hours, the stock dropped $0.02 or 0.02%.

AIAC Names Recipients Of James C. Floyd Award

Mr. Dave Caddey (pictured, right) and Mr. Ron Holdway (left) have been awarded the James C. Floyd Award by the Aerospace Industries Association of Canada (AIAC) for their exceptional contribution in the development of Canada's space industry. Mr. Caddey and Mr. Holdway were honoured by the aerospace community at a ceremony during the Annual Aerospace Dinner on November 18th in Ottawa. This marks the first time the James C. Floyd Award has been awarded to two individuals at once.

"I offer my heartfelt congratulations to Mr. Caddey and Mr. Holdway. These two deserving space pioneers exemplify Canadian leadership and innovation," said AIAC President Jim Quick. "Mr. Caddey and Mr. Holdway have been at the forefront of the Canadian space industry for many years, providing exceptional leadership both in their companies and through their involvement with AIAC. For the past 25 years, Ron Holdway was the public face of COM DEV. He is an innovator and a passionate supporter not only of COM DEV's position as a leading Canadian space company, but in promoting Canada's global contributions as a space faring nation.

Dave Caddey retires from McDonald Detwiler and Associates, where he held numerous positions since 1986. Mr. Caddey was responsible for overseeing several major programs during his time at MDA, lending his management and leadership skills to some of Canada's most advanced space systems projects.

Both recipients are long-standing members of AIAC's Board of Directors, where they played leading roles in providing a permanent and prominent place for space in the AIAC bylaws and governance structure, creating a Space Committee that would become the voice of the space industry in Canada.

Established in 2009 in honour of the chief engineer on the Avro Arrow project, AIAC's James C. Floyd Award for aerospace achievement is an annual award that honours exceptional contributions to the Canadian aerospace sector. Presented during the Canadian Aerospace Dinner, which is held at the annual Canadian Aerospace Summit, the James C. Floyd Award is given to visionary individuals or teams whose contributions have made a difference in the industry.

The official launch of Aerofi will be held at the National Institute of Advanced Studies (NIAS) situated inside the Indian Institute of Science campus.

In search of the best in aerospace

In an exclusive interview to OneIndia, Anurakar Mishra, CEO of Genser Aerospace and Information Technologies Private Ltd and the brain behind the new organisation, said that Mission Aerofi has been conceived to be a complementing force to the existing Indian aerospace structure, to make rightful contributions, as the future of global aerospace takes shape.

We are focusing only on aerospace companies who are committed towards our cause to contribute," Mishra said. Aerofi cells are likely to be formed in different companies with focus on research. "We shall rope in some of the best academic institutions in the country. We will manage the projects and act as a force multiplier. Aerofi will not be limited to India alone, but will engage with global aerospace community as required," he added.

According to Wg Cdr C D Upadhyay (Retd), former Chief Test Pilot of Hindustan Aeronautics Ltd (HAL) and currently one of the pillars of Aerofi, key work areas have been already indentified. "We are looking at the development of business jet, defence trainer aircraft, propulsion system, UAV, gyrocopter, mini and microsatellites, aerospace systems, aerospace design tools and aerospace process," Upadhyay said.

Vector Aerospace UK announces MRO programme for French Navy Lynx Helicopters.

Vector Aerospace UK, a leading provider of aviation maintenance, repair and overhaul (MRO) services, has announced the agreement of a long term contract to provide structural maintenance and technical support for the French Navy's Lynx Mk.4 helicopter fleet. The company's Fleetlands facility in Gosport, Hampshire, has the only main build/repair jig for this aircraft type in the world, making Vector the leading supplier of deep structural repairs on the Lynx platform.

The five year programme, with an additional two year option, could see the first aircraft arrive as soon as December 2014. Vector Aerospace will also support the MRO operations through technical visits to the Lynx bases in France to assist the French Navy's support organisation for the aircraft.

This work follows a previously contracted deep repair task on a single French Navy Lynx carried out in 2013. Vector Aerospace completed the programme within the space of only five months, the aircraft being inducted into the facility in August and returned into service in December; an impressive turnaround time given the extent of the work.

Vector Aerospace has an extensive track record of support for the Lynx platform. The Fleetlands facility has been the sole provider of depth maintenance and modification support to the Royal Navy and Army Lynx fleet for 36 years. This has included all marks of Lynx up to and including the Mk.9A.

Ball Aerospace Equips Lockheed Martin's Inaugural Orion Mission with Key Avionics and Antenna Hardware

Ball Aerospace & Technologies Corp. is providing the phased array antennas and flight test cameras to prime contractor Lockheed Martin for Orion's Exploration Flight Test-1 (EFT-1), which is an unmanned test flight scheduled to launch fromCape Canaveral, FloridaonDecember 4.

"We are eagerly awaiting the launch of the first mission of Orion as NASA enters its next era of human space flight," saidJim Oschmann, vice president and general manager of civil space and technology. "Ball Aerospace is best known for its support of major unmanned space exploration, but has also been a long-time supplier of technology products to the human spaceflight program including the Gemini and Apollo missions, Skylab, the Space Shuttle and now the next generation, Orion spacecraft."

Ball delivered four phased array antennas for the EFT-1. Each of the phased array antennasis ahighly sophisticated subassembly containing over 5,000 individual parts encased in a briefcase-sized housing. The antennas carry mission-critical voice and data communications and will perform on the pad, during ascent, on orbit, and through de-orbit and splashdown. The Orion phased array antenna design leverages dozens of Ball phased array designs delivered for space, airborne, ground and marine applications.

Ball's three flight test cameras were the first avionics hardware delivered for Orion EFT-1. They are based on the design of the docking camera that flew aboard the STS-134 Sensor Test for Orion Relative Navigation Risk Mitigation (STORRM) mission in 2011. For the December Orion flight they will be used for situational awareness to gather data for the duration of the mission, from lift-off through splash-down.

Orion is NASA's first interplanetary spacecraft designed to carry astronauts beyond low-Earth orbit on long-duration, deep space missions and eventually to Mars. The December test flight will mimic the extreme re-entry forces and harsh environment the crewed versions of Orion will need to withstand carrying astronauts on deep-space missions.

XCOR Aerospace Announces Latest Milestone in ULA Program

XCOR Aerospace today announced it has completed the latest test series for the liquid hydrogen engine it is developing for United Launch Alliance (ULA). This is an important milestone in the long-running LH2 (liquid oxygen and liquid hydrogen) program. It is also a step toward running the engine in a fully closed cycle mode.

In its most recent milestone, XCOR successfully performed hot fire testing of the XR-5H25 engine's regeneratively cooled thrust chamber,with both liquid oxygen and liquid hydrogen propellants supplied inpump-fed mode, using XCOR's proprietary piston pump technology.

"This test marks the first time liquid hydrogen and liquid oxygen have been supplied to a rocket engine with a piston pump," says XCOR Chief Executive Officer Jeff Greason. "It is also the first time an American LH2 engine of this size has successfully fired liquid hydrogen and liquid oxygen together in pump-fed mode. We are happy to be making solid progress on the engines. This will also bring us to a new phase in our plans for orbital flight.

"ULA has an ongoing effort to develop rocket engines for our next generation upper stage, and we are thrilled to see that progress continuing with XCOR," added ULA Vice President George Sowers.

Upcoming test series will fully integrate the nozzle with the engine and piston pumps. Fully closed cycle testing will follow soon afterwards and will complete the sub-scale demonstration engine program.

The XR-5H25 engines are being developed under contract to ULA as potential successors to the Delta and Atlas series upper stage engines currently used. These engines will also help power orbital launches.

The Canadian aerospace industry is a global success story that is setting new standards for innovation, productivity and competitiveness, Industry Minister James Moore told a lunchtime audience today at the 2014 Canadian Aerospace Summit.

The Minister underlined the government's support for aerospace and reiterated its commitment to supporting the manufacturing industry and establishing the right economic conditions for success. These included lowering taxes, cutting the corporate rate from over 22percent in 2007 to 15percent today and removing the federal capital tax.

Minister Moore also announced the creation of the Space Advisory Board, which will provide expert advice to the government on Canada's role and future in space. The board includes experts from across the country who will help lead Canada's space policy in the years ahead.

The members of the Space Advisory Board are: General (Retired) WaltNatynczyk, Deputy Minister of Veterans Affairs Canada, former Chief of Defence Staff and former Canadian Space Agency President; Dr.MamdouhShoukri, President and Vice-Chancellor of York University; TerryMalley, President and CEO of Malley Industries; Dr.ArlenePonting, President Emerita of MindFuel, a not-for-profit organization dedicated to inspiring young people's involvement in science through education; LorneTrottier, Co-founder of Matrox Electronic Systems and the Trottier Family Foundation; FredGeorge, President and CEO of JLK Global Fund International and Honorary Captain to the Royal Canadian Navy; John Keating, Director of Sandvine and former CEO of COM DEV; ColonelChrisHadfield, retired Canadian astronaut, former Commander of the International Space Station.

Georgia Aerospace Engineers In A Potentially Bad Situation

It's one of those examples of two governments working at cross purposes ... with regular people caught in the middle.

A state law in Georgia requires anyone working to design, build or repair airplanes, helicopters, and other things that fly to be licensed by the state. But the Savannah Morning News reports that the state no longer administers the exams because the FAA oversees the operation of aircraft. That leaves aerospace engineers in Georgia with no way to get a state license to do their jobs unless they take a general engineering exam that requires them to know about things like concrete and building ventilation.

While that might seem to be a pretty major problem, most Georgia aerospace companies simply ignore the law. As Greg Kress, co-owner of Top Flight Aerostructures in Dallas, GA, told the paper, "no one from the state ever knocks on our door saying 'let me see your license'."

Florida is reportedly the only one of 50 states that does not require a state license for aerospace engineers ... at least officially ... because of the work done in Florida by NASA during the last half of the 20th century.

The quirk in the Georgia law came to light during a hearing held by a legislative committee looking at ways to bolster the aerospace industry in the state. Analysts say Georgia is considered to be among the leaders in the UAV industry, and community leaders in Camden County on the Georgia Coast are looking at a parcel of land for a proposed commercial space launch site.
