Reckitt agrees to buy Schiff Nutrition for $1.4 bln

Reckitt Benckiser, the household products and drugs group, said it had agreed to buy US-based Schiff Nutrition for $1.4 billion (1.1 billion euros) after German group Bayer pulled out of bidding.

"Reckitt Benckiser Group today announces it has signed a definitive merger agreement with Schiff Nutrition International, Inc. -- a leading provider of branded vitamins, nutrition supplements and nutrition bars in the United States and elsewhere," said a statement.

"The Board of Directors of Schiff has approved the transaction and will recommend that its stockholders tender their shares into Reckitt Benckiser's previously announced cash tender offer of $42.00 per share, valuing Schiff at $1.4 billion."

German chemicals and pharmaceuticals giant Bayer on Tuesday withdrew from the battle to buy Schiff Nutrition after deciding against increasing its offer worth $1.2 billion.

Schiff Nutrition, based in Salt Lake City, Utah, has a workforce of some 400 and generated sales of $259 million in its business year ending on May 31.

It is a leading maker of vitamins and nutritional supplements and its brands include MegaRed, Move Free and Airborne.

Products made by Anglo-Dutch group Reckitt include Dettol surface cleaners, Durex condoms and Nurofen pain relief pills.

"We are very pleased to have reached a mutually beneficial agreement with Schiff and are excited to enter the $30-billion global vitamins, minerals and supplements market with such a strong portfolio of high quality branded business in the USA," Reckitt chief executive Rakesh Kapoor said in the statement.

"Schiff's portfolio is an excellent fit with our strategic focus on health and hygiene, where in health care in the USA we already have Mucinex, Delsym, Cepacol and Durex as major brands."

Africa: How Nutrition Feeds a Healthy Childhood

Nutrition plays a fundamental role in the life of every child. Without it, children cannot grow up to reach their full potential and face health risks like stunting that haunt them for the rest of their lives. On Universal Children's Day (November 20) we talked to Anna Horner, a nutritionist in West Africa, about WFP's work ensuring that kids get the nutrition they need.

1) How many children globally are affected by hunger and malnutrition?

In 2011, an estimated 165 million children under five years of age worldwide were stunted or chronically undernourished, meaning that they have suffered from restricted growth and development in their early childhood. In the same year, an estimated 52 million children were suffering from wasting or acute malnutrition, which is linked to an increased risk for illness and death.

Both of these forms of malnutrition are prevalent in the West Africa region where stunting is estimated to affect approximately 36 percent of children under five years

while approximately 5 million children are estimated to suffer from wasting at any point in time.

2) In what way does hunger and malnutrition affect children?

Hunger and malnutrition can have a lifelong impact on the lives of children. Scientific evidence has shown that malnutrition can cause irreversible damage to children in terms of both growth and development and can lead to an increased risk of mortality. For example, studies have shown that chronic malnutrition in the first two years of life prevents children from reaching their full mental and physical potential, increases their likelihood of illness, affects their ability to concentrate in school, and even impacts their earning potential in adulthood.

The impacts of malnutrition are inter-generational, passed down from mother to child, thus perpetuating the cycle of poor nutrition and health.
