ATLANTIC CITY, N.J., Oct. 14, 2021 /PRNewswire/ --Luxor Capital Group, LP, the primary owner of Ocean Casino Resort, announced today that the Ilitch organization has received regulatory approval and will acquire, through an affiliate, 50% of Ocean.Luxor will control the remaining 50% and will share equally with the Illitch organization in major decisions involving Ocean.

The joint venture, previously announced earlier this year, is an exciting development for Ocean as the resort continues to advance into the premier Atlantic City destination. Ilitch's investment will allow the resort to build on its success through continued expenditure in the property and enhanced customer and team member experiences.

Following today's hearing, Oceanannounced a resort reinvestment of more than $75 million over the next year, featuring the highly anticipated addition of more than 460 guest rooms and suites. This follows Ocean's 2021 property improvements, including a redesigned casino floor with new high limit experiences.

Luxor said in a news release this week that Ilitch has received regulatory approval for an affiliate to acquire the stake and that, going forward, the two companies will share equally in major decisions involving the casino. Ilitchs investment was first announced in April.

DraftKings (NASDAQ:DKNG) announced today its providing private investment in public equity (PIPE) to Horizon Acquisition Corp. (NYSE:HZAC) the special purpose acquisition company (SPAC) merging with online ticket marketplace Vivid Seats.

Todd Boehlys Eldridge Industries, an affiliate of Horizons sponsor, Horizon Sponsor, LLC, is entering into the agreement with DraftKings. Los Angeles Dodgers co-owner Boehly is the founder of Horizon Acquisition and will serve as a director on the Vivid Seats board. The exact amount of DraftKings PIPE wasnt revealed.

The investment will be part of the previously announced PIPE financing for the transaction, with DraftKings assuming a portion of Eldridges commitment, according to a statement.

When Horizon and Vivid Seats announced merger plans in April, the transaction was valued at $1.95 billion, including $769 million in gross proceeds to be directed to the internet ticket broker. Of that $769 million, $225 million was slated to be PIPE from Boehlys Eldridge Industries and Fidelity. DraftKings is picking up a portion of that tab.

Through the PIPE commitment, DraftKings is getting an asset that could appreciate.

As part of the investment, Eldridge has agreed to provide DraftKings the option to sell its Vivid Seats shares to Eldridge on the business day following the first anniversary of Horizon and Vivid Seats business combination closing at price of $9.77 per share, conditioned upon DraftKings continuously holding the Vivid Seats shares until such date, according to the statement.

News of DraftKings investment sent the SPAC shares higher by 11.5 percent in midday trading on volume thats already more than triple the daily average. That indicates that while a slew of de-SPACed companies are tumbling this year, the DraftKings name carries plenty of cache in the investment community.

Vivid Seats merger with Horizon Acquisition is expected to close on Oct. 18, with the target making its debut as a standalone public company the following day. It will trade on the Nasdaq under the ticker SEAT.

DraftKings cofounder and CEO Jason Robins is an adviser to another Boehly SPAC Horizon Acquisition Corp. II (NYSE: HZON).

Earlier this year, rumors swirled that the blank-check company was close to a merger with sports betting data provider Sportradar (NASDAQ:SRAD). But that deal fell apart, prompting Sportradar to pursue a traditional initial public offering.

DraftKings itself came to market via a blank-check merger. Horizon Acquisition Corp. II has yet to announce another merger partner, and it has about a year left to do so, or risk liquidation.

In 2017, Boehlys Eldridge Industries made a $100 million investment in DraftKings.

Ohio sports betting backers are hoping to regain momentum on a long-stalled legalization proposal.

The Ohio Senate, which has already passed a sports betting bill, called for a conference committee Wednesday to help advance the proposal. Backers hope a joint conference committee of Senate and House members can help finally pass legislation that has lingered in the legislature for years.

The current sports betting legislation is attached to an unrelated veteran identification bill. The Senate, hoping to pass the bill before a self-imposed June 30 deadline, inserted the sports betting language in the ID bill on June 25, which had already passed the House.

The House unanimously rejected the sports betting provisions of the ID legislation on June 29, meaning it could not pass into law. Lawmakers took a summer recess beginning in July, delaying further action on the bill until the 2021 session reconvened earlier this month.

Sports betting legalization in general has bipartisan, bicameral support as well as backing from the states casinos and professional sports organizations. The current legislation now included as part of the voter ID bill would permit as many as 25 statewide mobile licenses. There could also be up to 40 retail sportsbooks throughout the state.

Ohios 11 casinos and hybrid horse racing track racinos could have two skins apiece. The states eight combined NFL, NBA, MLB, NHL and MLS franchises could have one online skin each, as too could the PGA Tour and NASCAR, each of which host events in Ohio.

Other leagues, including the Womens Tennis Association, have also sought sports betting licensee authorization. Hall of Fame Resorts and Entertainment, a publicly traded company based in Canton, is hiring for its gaming division and would presumably also pursue sports betting access in its home state.

The current bill also leaves room for entities not affiliated with a casino or professional sports organization. Lawmakers earlier in the legislative process opened the door for virtually any business with an Ohio presence to pursue a license with bill sponsor Sen. Nathan Manning citing Ford Motor Company as an example.

The casinos and sports franchises would almost assuredly all go after retail licenses as well. The current law allows up to five retail books in counties with more than 800,000 residents; three in counties with 400,000 to 800,000 residents; and one book license in those with at least 100,000 residents.

Lawmakers have also pushed to include sports betting access for veteran and fraternal organizations as well as certain bars and restaurants. These entities could apply for a limited number of betting kiosk licenses.

Ohios population and sports background would make it a major target for the nations leading sports operators. Top sportsbooks including DraftKings, FanDuel, BetMGM, Caesars and Barstool all either have an existing casino affiliate in the state or will pursue market access.

Other likely sportsbook entrants or companies with market access deals include PointsBet, TwinSpires, WynnBet and MaximBet, among others.
