Western Liberty Bancorp Reports Second Quarter 2012 Financial Results

LAS VEGAS--(BUSINESS WIRE)--
Western Liberty Bancorp, Inc. (WLBC), the holding company for Service1st Bank of Nevada (Service1st Bank) and Las Vegas Sunset Properties (LVSP), today reported its tangible book value per share was $5.43, down slightly from $5.53 in the preceding quarter. Western Liberty reported second quarter loss of $1.5 million, or $0.11 per share, compared to $1.1 million, or $0.08 per share, in the first quarter of 2012, and $4.6 million, or $0.30 per share in the second quarter of 2011. For the six month period ended June 30, 2012, net losses narrowed to $2.5 million, or $0.19 per share, compared to $5.0 million, or $0.33 per share in the first half of 2011. All financial results are unaudited.
Our loan portfolio continues to stabilize with nonperforming loans down $3.5 million from year end, said William Martin, Chief Executive Officer. While we still have a lot of work to do, we believe the steps we are taking will help us achieve our operating goals. Fortunately, capital remains exceptionally strong.

Nevada Economic Update
According to the July 31, 2012 report from the University of Nevada Las Vegas Center for Business and Economic Research (CBER), CBERs Southern Nevada Coincident Index grew by 0.61% in May, the strongest showing since before the financial crisis in 2008. Nonfarm employment grew by 0.45% and household employment increased by 0.77%.
Compared to the previous six months, CBERs Southern Nevada Leading Index slowed down, increasing by only 0.17% for May 2012. This is about 0.08 percentage points below the average for early 2012 and late 2011. Our neighboring states fared well; Arizonas component increased by 0.17% and Californias by 0.29%.

TORONTO , Aug. 14, 2012 /CNW/ - Liberty Mines Inc. (LBE.TO) ("Liberty" or the "Company") today reported its financial results for the three- and six-month periods ended June 30, 2012 . All amounts are in Canadian currency.
"Our second quarter performance was effectively marked by the re-start of operations and the ramp-up of production," said Chris Stewart , President and CEO of Liberty Mines. "While Q2 results included our highest production of concentrate and our highest revenue total in nearly two years, our progress was impeded by the nickel price declining by more than 25 percent in the past six months and generally unfavorable market conditions.In response to the current market environment, we are undertaking a full review of our strategy and operational activities to reduce costs and improve efficiencies. To maximize the value of our ore for when nickel prices recover, we are temporarily suspending production immediately."
Adverse market conditions, including the declining price of nickel, has resulted in JIIL deciding to re-evaluate the terms of the restructuring and the parties were unable to resolve the outstanding issues prior to the completion of the Company's financial statements for the six monthsending June 30 , 2012. As a result, approximately $52.6 million in debt that comes due on December 31 , 2012and a further $10 million advanced in 2012 pursuant to promissory notes will continue to be treated as a short term liabilities.The remaining $25.5 million that was to be included in the restructuring continues to have a due date of June 30 , 2014. The Company will keepshareholders advised on developments with respect to this matter.
Q2 2012 Financial and Operational Highlights
Selected Q2 financial highlights
Review of Q2 Financial Performance Revenue for Q2 2012 was $5.4 million , up from negative $117,000 for the corresponding period of 2011. The growth was due to a re-start of mining and milling operations effective March 31 , 2012. In Q2 2011, Liberty had suspended mining and milling operations and its revenue total included an adjustment from previous periods. For the six-month period of 2012, Liberty generated revenue of $5.4 million , up 170% from $2.0 million for 2011. In Q2 2012, the average price of nickel was $7.78 per pound.
Liberty generates revenue through the sale of nickel concentrate and related by-products produced from its mining and milling operations in Timmins, Ontario. Liberty has a 100 percent off-take agreement with Xstrata.
Operating expenses for Q2 2012 were $7.4 million , up from $1.4 million last year. The increase in operating expenses is primarily due to the re-start and subsequent ramp-up of production activities throughout Q2 2012. In Q2 2011, Liberty's production activities had been suspended and the Company was chiefly in a maintenance and care-take mode. For the six-month period 2012, operating expenses were $10.7 million , up from $4.8 million .
Net loss for Q2 2012 was $10.3 million or $0.05 per share (basic and fully diluted). The loss included amortization/depletion expenses of $3.2 million , interest on long-term debt of $2.5 million and dividends on preferred shares of $0.3 million . Liberty recorded a net loss of $4.5 million or $0.03 per share for the same period in 2011 when its operations were suspended. For the six month period of 2012, Liberty recorded a net loss of $18.3 million or $0.09 per share. This compares to a net loss of $9.7 million or $0.06 per share for the six-month period of 2011.

Trial continues for courthouse suspect

TULSA - The competency trial for a man who allegedly opened fire outside the Tulsa County Courthouse is expected to wrap up Wednesday.
Andrew Dennehy, 24, is accused of firing several gunshots outside the courthouse March 7, injuring a Tulsa County sheriff's deputy and an innocent bystander.

Dennehy recently underwent a mental health evaluation and a psychiatrist concluded he shows signs of depression, paranoia and a lack of judgment.
On Tuesday, Dennehy's own father, a radiologist, took the stand and discussed telephone calls he received from his son while in custody. He said Dennehy believed that the Illuminati and Free Masons were working together to follow him.
Dennehy's father said his son has stated the pope, George Bush, Miley Cyrus and Kanye West are Illuminati.
The psychiatrist who recently evaluated Dennehy also testified Tuesday, saying Dennehy believed the Illuminati were planning to kill him and his parents and he believed his death would stop the Illuminati from being interested in his parents.
According to the psychiatrist, Dennehy has a strong suspicion that the district attorney, some jury members and even his own attorney may be members of the Illuminati.
"All the testimony from his parents, from the mental health experts strongly makes a compelling statement to any reasonable person that he's suffering from serious mental health issues," said Allen Smallwood, Dennehy's defense attorney.
At the conclusion of the trial, a jury will determine if Dennehy is mentally fit to stand trial for the shooting.

Judge Doesn't 'Like' Facebook as Free Speech?

A Virginia sheriff's deputy who was fired for "liking" his boss' opponent on Facebook likes his chances in a federal lawsuit claiming his click was constitutionally protected.
The deputy, Daniel Ray Carter Jr., and five other employees were fired after clicking the like button on Facebook in support of Jim Adams, their boss opponent in the race for Hampton sheriff in 2009. Carter and the other five terminated employees have been fighting in the courts ever since, saying their firings violated their right to free speech. But a May decision from U.S. District Judge Raymond A. Jackson did not go in their favor.
It is the Courts conclusion that merely liking a Facebook page is insufficient speech to merit constitutional protection, Jackson wrote in his opinion.

Carter's legal team filed an appeal last week with the U.S. Court of Appeals and is hoping a panel of judges will overturn the previous ruling.
I think the Virginia court blew it, attorney Richard Roth of the Roth Law Firm told FoxNews.com. Youre pressing a like button. Youre pressing a button that says I like the ad or the candidate. I dont know how the court can say its not protected speech.
Facebook and the ACLU have recently gotten involved in this suit, both filing an amicus brief, which states their support for First Amendment protection in this particular case.
It is essential that the courts understand that these new ways of speaking be protected by the First Amendment just as much as our old ways, ACLU attorney Aden Fine told FoxNews.com
In the filed brief, Facebook said the like was the 21st-century equivalent of a front-yard campaign sign. They continued to say, liking a Facebook Page is entitled to full First Amendment protection. The district court reached a contrary conclusion based on an apparent misunderstanding of the way Facebook works.
Those in defense of Sheriff B.J. Robert, who won his re-election and then fired the six employees, claim that because no actual speech was involved, it does not warrant protection.

Liberty Provides Update on Operations, Financing and Debt Restructuring

TORONTO , Aug. 14, 2012 /CNW/ - Liberty Mines Inc. ("Liberty" or the "Company") announced today that effective immediately it has temporarily suspended production activities due to a low nickel price environment, which has declined by more than 25% in the past six months. Liberty's decision is designed to preserve its nickel ore for when base metals prices improve, and production becomes economically viable.
"Clearly, we are disappointed that market conditions and commodities prices have not kept pace with Liberty's turnaround since the start of the year," said Chris Stewart , President and CEO of Liberty Mines. "Our decision to suspend production temporarily is not being taken lightly, but is ultimately in the best long-term interests of our investors and strategic partners. In the interim, we are making every effort to reduce costs and update our go-forward strategy."
The Company will move all of its assets into a care and maintenance mode effective immediately. This will enable Liberty to protect its assets, and keep them in a ready state so that viable production can easily be restarted when the price of nickel has recovered sufficiently.
To reduce short-term cash requirements, Liberty has also decided to temporarily suspend its exploration diamond drilling activities until further notice.
In response to adverse market conditions, Liberty has also announced that the offering of units of the Company contemplated under the preliminary short form prospectus dated June 26, 2012 is being withdrawn. The Company is reviewing its options for alternative financing arrangements as part of its updated strategy.
To address short term cash requirements, the Company has approached its primary shareholder, Jien International Investment Limited (JIIL), for additional financial support. JIIL has agreed to provide additional financial support to allow Liberty to continue as a going concern by making available an additional $5 million dollars between the date hereof and the end of the year. Interest on these funds will accrue at the rate of 10% per annum following receipt of the required regulatory approvals (including shareholder approval if applicable) and will be due on December 31 , 2012. This additional advance will be secured as part of the existing security arrangements with JIIL and will be subject to standard covenants and events of default
Liberty also announced that it has been advised that its primary shareholder, JIIL, is re-evaluating the terms of the debt restructuring announced previously due to unfavorable market conditions and declining metals prices. The parties have agreed to enter into negotiations to complete a restructuring of all outstanding debt owed to JIIL prior to December 31 , 2012. Liberty will keep shareholders apprised of new developments as negotiations are settled.

Sennen Comments Briefly on Liberty's Desperate Second Letter

VANCOUVER, BRITISH COLUMBIA--(Marketwire - Aug. 14, 2012) - Sennen Resources Ltd. (SN.V) ("Sennen or the Company") comments briefly on the second "Open Letter to Shareholders of Sennen Resources" (the "Letter") dated August 9, 2012 issued by Liberty Silver Corp. (TSX:LSL and LBSV-OTCBB) ("Liberty").
The Letter does nothing to refute the cogent reasons for rejection presented in Sennen's Circular and News Release dated July 31, 2012, and the Letter is replete with fundamental errors that display an embarassing lack of understanding by Liberty's management of Sennen's financial statements and other disclosure. Out of apparent desperation, despite suggesting the desire to conclude a "friendly" transaction, Liberty has spent an inordinate amount of time and effort on personal attacks and criticizing the stewardship of the Sennen's Board and management for succeeding where they themselves have not. Rather ironically, Liberty will fail if it is unable to achieve exactly what that stewardship has produced (and the Board of Liberty has not) - $13.5M in its treasury which places Sennen in a strong financial position to carry on its business and remain solvent for the foreseeable future.
Sennen's Shareholders, who understand the lack of relevant experience in the sector as demonstrated by Liberty's management in their Letter, and their desperate attempt to access cash by any means for that company's survival, still await a response from Liberty's management regarding their "entry cost" into Liberty. Sennen Shareholders, as well as any current and potential future shareholders of Liberty, are entitled to know whether this was at one half of one cent per share (or less), being the average cost of 68.4M of the 81M Liberty shares currently on issue. This fundamental shareholder issue of value creation or exploitation by the Liberty management, board and controlling shareholders must be addressed. Sennen has still been unable to locate Liberty management's US Insider filings, and Sennen once again extends an invitation to Liberty Directors and management to disclose this information in the interests of full and plain disclosure-a subject that lies at the very heart of Sennen Shareholders' lack of trust in Liberty's management.
Sennen has yet to receive one letter, phone call or email in support of the Liberty Offer, and the response of Sennen Shareholders to the Liberty Letter has been extremely negative. Any Sennen Shareholders that do wish to incur the high risk of financial exposure to Liberty are reminded that they can simply buy Liberty shares in the market.
Stated Ian Rozier, President of Sennen, "Several of the comments made by Liberty's management are unprofessional, factually inaccurate and disingenuous, and clearly demonstrate their lack of experience and integrity without the need for any further comment from Sennen. Quite simply put, Sennen Shareholders are effectively being asked to make a Private Placement of $13.5M into a junior company with an OTC Bulletin Board type share structure that the market, Liberty directors, and its major shareholders, are themselves unwilling to do. The myriad of reasons for the markets' refusal to make such an investment into Liberty are confirmed by the very comprehensive report from the Financial Advisors to the Board of Sennen, and based on Liberty's lack of financing success and the unwillingness of Liberty's directors and major shareholders to finance it themselves, we can only assume that they are aware of, and concur with this market assessment. We repeat, based on any analysis of the fundamental issues, Liberty's Offer is of zero interest to Sennen's Board, management and to shareholders representing a majority of the Company's shares. Liberty's advisors should advise them to stop wasting everyone's time and money."

Sennen Shareholders are reminded that the Board of Directors have recommended rejection of the Liberty Offer for the reasons set out in the Director's Circular dated July 30, 2012. Freedom to Marry Pours $3 Million into State Marriage Battles

The group has raised $3 million ahead of schedule to help secure costly TV buys in Maine, Minnesota, and Washington, with help from major Republican donors including Paul Singer.
Freedom to Marry, the campaign working for marriage equality nationwide, announced that it has already met its goal of raising $3 million to be invested in three states facing ballot measures this November, with more than one third of the contributions coming from a group of major Republican donors including the billionaire hedge fund manager Paul Singer.
The organization said Monday it reached the $3 million mark with a $500,000 pledge to match donations in Washington Statedollar for dollar through August 31. In addition to Washington, Freedom to Marry is raising and channeling money to Maine and Minnesota through its Win More States Fund.
More than $1 million of the money raised for the three states has come from a group of leading Republican-affiliated donors. The group includes Singer, a major booster of presumptive Republican presidential nominee Mitt Romney, who diverges from his backer in supporting a federal constitutional amendment to ban same-sex marriage. Singer has a gay son and son-in-law and has invested a total of $1.7 million in Freedom to Marry starting with campaigns in New York and New Hampshire last year, according to a spokesperson for the organization.
The Win More States Fund launched in March with a goal of raising $3 million in five targeted states for the entire campaign season, but it has reached that goal in just three states, more than two months ahead of schedule. Campaigners report intense early pressure to secure TV buys, which have skyrocketed in price this year because of competition from candidate campaigns and super PACs. Prices in the Seattle market have doubled in recent months, and costs haveincreased by nearly 30% in Portland, Maine. The money raised is also being used for public education, new media engagement tools, and field campaigns.
Early and strategic support shows that our movement has evolved into a sophisticated campaign equipped to win at the ballot box in November, said Evan Wolfson, founder and president of Freedom to Marry, in a statement. The announcement follows last weeks report that the Human Rights Campaign plans to direct $1 million to the marriage campaigns in four states, sending $250,000 apiece to Maine, Maryland, Minnesota, and Washington. HRC said it has spent $4.8 million on legislative and electoral marriage issues in the 2011-2012 cycle, with more contributions expected before the campaign ends.
Marriage equality advocates hope to break a long losing streak at the ballot box this year, as polls show that increasing majorities of Americans support the right of same-sex couples to marry. Fund-raising has already broken records, where Amazon founder Jeff Bezos and his wife MacKenzie last month contributed $2.5 million in Washington, the largest donation ever publicly reported for a marriage campaign.
While advocates currently lead opponents in money and polling, group such as the National Organization for Marriage have entered states and run advertisements at the last minute in past campaigns. The three campaigns in Maine, Minnesota, and Washington still need to raise more than $10 million, according to Freedom to Marry.

AUG 13 Apparently, the government has not learned a lesson in law formulation, as the recently-passed amendments to the Evidence Act have again triggered unnecessary controversy.
Under section 114(a), those charged under the law would have to disprove their alleged wrongdoing although the posted comments might have been issued by hackers. The vague wording of the provision might also suppress the freedom of speech on the Internet. Information Communication and Culture Minister Datuk Seri Dr Rais Yatim said that any person who posts unfavourable seditious, abusive, disinformation or spreads false or defamatory statements through conversations, conferences, telephone conversations or social media such as Facebook and Twitter, causing harm or troubles to others, the acts would be considered as criminal offences.
However, how should we define seditious remarks? It is in fact very subjective. It is the peoples right to criticise the government but some comments might be alleged to cause public discontent and thus, classified as seditious.
Prime Minister Datuk Seri Najib Razak announced on July 12 that the Sedition Act 1948 will be repealed and replaced by the National Harmony Act as an effort of the Government transformation Plan (GTP). However, the governments credibility is undermined as it is now trying to tighten control over the freedom of speech online.
Umno Youth chief Khairy Jamaluddin and Deputy Higher Education Minister Datuk Saifuddin Abdullah are against section 114(a). Saifuddin said that the Bill was tabled in the Dewan Rakyat without a prior consultation with BN lawmakers. He also believes that the Dewan Rakyat should have an in-depth debate, while the responsible minister should explain further.
It is a flaw in the legislative process. Views of elected representatives, professionals and interest groups are not consulted before Bills are hastily passed in the Dewan Rakyat. Lawmakers neglect the seriousness of the Bills because there is no proper explanation from the responsible ministers as there are too many Bills to be debated within a limited time. As a result, Bills are opposed by the members of the public after they are passed in the Dewan Rakyat.
Although the government had promised not to censor the Internet when it launched the Multimedia Super Corridor (MSC) in August 1995, regulatory actions have in fact started. The Computing Professionals Act 2011 was planned to register all workers in the information and communications technology industry, triggering a concern that the Act might be used to control blogs, websites, Facebook and Twitter.
For new media, many countries are still in the learning and exploring process. For example, a US federal judge said clicking the Like button on Facebook is not constitutionally protected free speech. Fired Facebook users do not accept it and are now making their appeal.
Undeniably, online violence and disorder problems in Malaysia have become increasingly serious. The specification of the Internet, however, should be divided into two parts, namely the government and private use.
The authorities should retain the peoples right to criticise the government and appraise public issues. If they insist on tighter control and cause an online white terror, it will then suppress the freedom of the public to supervise the government. It is detrimental to democracy in the long run.
